This is an issue for us and our clients.
It needs resolving, our recommendation is now to use OneDrive
@Nico B. Are you able to provide more details as this does not address the issue for me?
I have recorded a quick (<1 min) video illustrating what I tried, using your code above and how it does not work for me. Can you see what I might be missing?

Replication steps:
Expected result:
Excel should close with no prompts or errors
Actual result:
I am prompted for the VBAProject Password. When I click on Cancel, Excel crashes
Thank you for sharing your file. I downloaded it and it has the same issue for me in that it displays the password prompt upon close.
Here is a quick video demonstrating how when Dropbox Badge setting is set to "Always show", the password prompt still comes up. If the Dropbox Badge setting is set to "Never show", the password prompt does not come up.

Were you able to confirm that your file works for your customer when they have the Dropbox Badge setting set to "Always show"?
I'm sorry I gave you false hope. It looked like I found the solution but it turned out the problem returned. I'm afraid something went wrong during our first test.
I've deleted my comments.
I confirm this is a problem that needs a resolution. I just came across the problem, but see others have had the same issue since 2015. It's now 2017 and still not resolved?!?! Dropbox, any update on fixing this bug?
Hi Dropbox. Is this bug still being worked on? While turning off the badge does work as a short-term solution, it is irritating for clients who use the badge functionality! Please provide an update on progress with a fix for the issue.
I'm having this same issue its been since 2015 this issue was noticed. Come on. I just wasted 4 hours deleting Sub by sub trying to figure out what I did wrong.... the only way I knew to search for this was when I restarted and tried running my excel macros before drop box got booted up.
