Do online-only files count toward the 300k soft limit of the desktop app syncing?

If I make online only (see screenshot below) 20k files located in a folder, so that it is going to be indexable in windows searches and fast to be found, do those 20k files really count toward the limit of 300k sync files?

Under large-deployments dropbox help I found that they say "used with sync", but it is unclear what "used with sync" means, please clarify :

Users shouldn't sync more than 300,000 files.

This includes online-only files used with sync.
