This seems to have worked! Meaning Finder Integration came back and preview is able to open 'smart-sync' files again.

For future ref:
1. Kill all dropbox processes
In Activity Monitor, select all Dropbox process and Force Quit
2. Restart dropbox
3. Restart Finder

ooh! THAT works very well - i'm wasn't used to Big Sur's "finder extensions" pref pane, but now I know to look there in the future.
